Terms of Service

1. About this Agreement

These Terms of Service (“Terms”) are a legal agreement between you (“Customer,” “you”) and SameThoughts Inc., a Delaware corporation (“SameThoughts,” “we,” “us”), governing your access to and use of the HippoDid platform and related services (collectively, the “Service”). By creating an account or using the Service, you agree to be bound by these Terms.


2. The Service

HippoDid is a portable AI character memory infrastructure. The Service provides persistent memory storage, retrieval, and lifecycle management for AI agent characters via:

  • A REST API for memory read/write operations
  • An MCP (Model Context Protocol) server for AI tool integration
  • A Spring Boot Starter SDK for Java applications
  • A web dashboard for memory management and configuration
  • BYOK (Bring Your Own Key) model integration for AI extraction

The Service processes memory content using your configured AI model provider (via BYOK keys) for extraction and embedding. We use OpenAI's text-embedding-3-small model for vector embeddings unless you provide an alternative.


3. Accounts

Account creation and authentication are managed through Clerk. You must provide accurate information during registration. You confirm that you are at least 16 years of age (or the age of digital consent in your jurisdiction). You are responsible for maintaining the security of your account credentials and API keys. You must notify us immediately of any unauthorized access to your account.


4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable laws
  • Upload malicious code, viruses, or harmful content to the Service
  • Attempt to gain unauthorized access to other tenants' data or the multi-tenant infrastructure
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Use the Service to benchmark or evaluate for purposes of competitive disclosure without prior written consent
  • Exceed rate limits or abuse API access in a manner that degrades the Service for other users

5. Customer Data and Memory Content

Ownership. You retain all rights, title, and interest in your data, including all memory content, character configurations, and category definitions you submit to the Service (“Customer Data”).

License to operate. You grant us a limited, non-exclusive license to process Customer Data solely to provide and improve the Service — including storage, retrieval, embedding generation, decay processing, and deduplication.

No training commitment. We do not use Customer Data to train AI models. Your memory content is never used as training data for any machine learning model, whether ours or any third party's.

BYOK key handling. If you provide your own AI provider API keys (BYOK), those keys are encrypted at rest and used exclusively to process your requests. We do not log, share, or access your keys except as necessary to route requests to the configured provider.


6. Fees, Billing, and Subscriptions

The Service is available in multiple tiers (Free, Starter, Developer, Business, Enterprise) as described on our pricing page. Paid subscriptions are billed through Stripe. All fees are stated in US dollars and are non-refundable except where required by law. We may offer promotional pricing, annual discounts, or introductory coupons at our discretion. Tax is your responsibility where applicable.


7. Intellectual Property

Our IP. The Service, including its architecture, APIs, dashboard, documentation, and branding, is owned by SameThoughts and protected by intellectual property laws.

Your IP. You retain all intellectual property rights in your Customer Data.

Open-source components. The HippoDid Spring Boot Starter SDK is licensed under the Apache License 2.0. Your use of that component is governed by that license.


8. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We reserve the right to modify, suspend, or discontinue any feature of the Service with reasonable notice. Material changes that reduce functionality available to your tier will be communicated at least 30 days in advance.


9. Warranties and Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be error-free, secure, or uninterrupted. Nothing in these Terms excludes warranties that cannot be lawfully excluded under applicable law.


10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAMETHOUGHTS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100). IN NO EVENT SHALL SAMETHOUGHTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITIES.


11. Indemnification

Each party agrees to indemnify and hold harmless the other party from and against any third-party claims arising from (a) the indemnifying party's breach of these Terms, or (b) the indemnifying party's violation of applicable law. You additionally agree to indemnify us against claims arising from your Customer Data or your use of the Service in violation of these Terms.


12. Termination

Either party may terminate this agreement at any time. You may close your account through the dashboard or by contacting us. We may suspend or terminate your access if you violate these Terms.

Upon termination, you will have 30 days to export your Customer Data. After the export window, we will delete your data in accordance with our data retention practices described in our Privacy Policy.


13. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any dispute arising under these Terms shall be resolved first through good-faith informal negotiation for a period of at least 30 days. If unresolved, disputes shall be brought exclusively in the state or federal courts located in San Francisco County, California.


14. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email to the address associated with your account and by posting the updated version on this page. Your continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms.
